These Terms of Service ("Terms") govern your use of the ModelBridge platform and services. By creating an account or using ModelBridge, you agree to these Terms.

1. Definitions

"ModelBridge," "we," "us," or "our" refers to ModelBridge Inc. "Services" refers to our AI model aggregation platform. "You" or "User" refers to any individual or entity using our Services. "Model Providers" refers to third-party AI companies (e.g., OpenAI, Anthropic, Google).

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using ModelBridge, you represent that you have the legal capacity to enter into these Terms.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete registration information.

5. Third-Party Model Providers

ModelBridge routes your prompts to third-party AI model providers you select. We do not control the outputs of these models. Each provider has its own Terms of Service and Acceptable Use Policy — you are responsible for complying with them. ModelBridge is not liable for content generated by third-party models.

6. Intellectual Property

Our IP: The ModelBridge platform, including its code, design, branding, and documentation, is owned by ModelBridge Inc. and protected by copyright and other IP laws.

Your Content: You retain all rights to the prompts you submit and the content you create using our Services. You grant us a limited license to process this content solely for the purpose of providing the Services to you.

7. Payment and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. We may change pricing with 30 days' notice. You are responsible for any applicable taxes.

8. Service Availability

ModelBridge is currently available in select countries. We use geo-IP filtering to determine availability. Attempting to circumvent geo-restrictions is a violation of these Terms. We are not currently available in mainland China. This list will be updated as we expand.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF AI-GENERATED CONTENT. AI MODELS MAY PRODUCE INCORRECT, MISLEADING, OR BIASED OUTPUTS — YOU ARE RESPONSIBLE FOR VERIFYING ALL AI OUTPUTS BEFORE RELYING ON THEM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold ModelBridge harmless from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms.

12. Termination

You may cancel your account at any time. We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination, during which you may request an export.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to These Terms

We will notify you of material changes via email at least 30 days before they take effect. Continued use after changes constitutes acceptance.
